And so we'll jump right into item number three, which is our main and only action item. Continued discussion on the, airport authority interlocal agreement. I think we're turning that over to Dane at first.

So I got the notes from Andrew from last week's meeting. I met with Craig from Logan City's attorney yesterday for a couple hours, and he was okay with he he didn't have anything else to to add other than what was discussed at that that meeting. So what you have in front of you is what we came to.

That's one of the issues we're gonna run into is Logan City Council doesn't have a meeting until July 21. So I told them, well, I think the county is wanting to move sooner than that, at least on our side.

Well, I haven't been over that law firm for fifteen years. I drop in to get a check once in a while, but, you know, when you when you have an agreement, then go back to the earlier agreement. Say it doesn't help. Let's go back to the earlier agreement.

When when you have an agreement, regardless whether it was Daines and Jenkins that did it or not, when you have an agreement that you're cutting and pasting, the only way I can tell what our interlocal agreement is is to get the old one and the new one and keep score going back and forth. I I don't if if you didn't change the substance, if you just went through this and made the changes so we had a text that we could refer to one text as our interlocal agreement. Yeah. Frankly, when it's when it's this way, I can't keep track of of what it is. I want a restated agreement. Anybody disagree with that format?

I mean, for example, look at page two. The introductory opening paragraph is unchanged by this amendment, remains in full force effect. Okay. What does it say? I go get the 92 agreement and say, opening paragraph. Well, what is the opening paragraph? Tell me which one it is. Is it purpose or is it the headline? Which one is it? Start real quick. Okay. Recital a of the interlocal agreement entitled purpose is hereby revoked or replaced with the following. Okay. So I go over here and four sentences are replaced by three. Okay. And then we skip down to f. This is revoked and replaced with the following, recital b, recital c, d, e, g, h are unchanged. I

But even even still, it was different to or it was difficult to discern what was different between the last time we saw it. The

I think there was some debate on the airport board about if the executive should be on there, and I think that was a two thirds vote in favor of that. So I see that reflected here.

about some of the the level of funding discretion we're giving the authority board. I've been there for you, page 12 and page 13, and I I'm not really recommending it changed there, Dane. I just wanna make sure I kinda have an understanding of what we're saying here. E two on page 12, it says, the airport authority shall submit any budget funding request to Cache County Council in accordance with the timing of procedures established through the Cache County budgeting process. Now what what I'm interpreting that to be is the request for money from the county. Is that what that is? Yes. It it's not any budget funding. It's only the ones where we're requesting money from cash. Yeah. It's when they're requesting money, not from

from their own Right. Budgeting and their FAA money. It's if they want money from us, it has to go through our own budget. And then paragraph one said,

three months before the year starts. That means they have to do the budget for '9 for 2027 before 10/01/2026.

That's that's customary where you have to go out and get, property tax and everything. But but this entity doesn't run that way. Why are we making them give us a budget for the next year, three months in advance of the previous year? It made sense when it was an end to support it with property taxes. But we don't need a budget approved by the airport authority board until December.

Well, if it's gonna be a part of our budget, the county's budget, we would have to have time to incorporate it into our budget No. Process. It's not. That's If they're asking for anything, though, it it would. Well, if they're asking for money, I don't have a question about that. And it says important with the timing procedures that Matt sets up for that. But but why make

three months and they they can have that? Normally, budget's an ongoing thing. Yeah. Constant. But you don't finalize the budget until typically in December for the next year. That's a typical business type Okay. Arrangement.

Amy? I'm sorry. I walked in a little bit late, so maybe you already discussed this. But the way that I'm reading it is that the airport authority board submits it to the sponsor board. I feel like maybe that's similar to when the executive submits a budget to the council, and three months prior would be giving the sponsor board a chance to review that before approving it.

And then if this follows up with the another paragraph on page 13, contract exceeding approved budget. Airport Authority shall not enter into any contract or undertake any project or improvement that would exceed the approved budget without the approval of the sponsor board. So what that really says is you're you're blocked from changing your budget without going back to the sponsor board.

But if it's to exceed their approved budget, then they better have some some anomaly of monies that have come in to

to make that change. Yeah. But, you know, we we go through this process, what, quarterly, Matt, of adjusting our our budget.

Yes.

And so what you're really saying there is is you're setting yourself up for this sponsor board, having to look at something every quarter with to supervision to begin with. I don't think it's a bad idea.

Can I can I ask Matt a question? Yeah. How often is the airport coming on budget amendments over the last couple of years?

They're present on half of them. But when I say they're present on half of them, the airport authority board is absolutely absent from any of those discussions. It's it's the airport manager usually at the urging of the budget analysts.

Is is it typically we have more money coming into the budget because of FAA or are we asking are they asking for more money in those situations?

No. Usually, for example, they were on the on the budget amendment for June 9. And the reason they were is because the analysts went to the airport and said, look, you have forgotten these grants that you have and you need to do something about it and you need to spend that money. So we need to get you on the budget. And the airport said, oh, okay, sure, whatever.

You know, I don't I don't wanna make any changes because I don't wanna have to go through the Logan process of making changes. I just wanted to know, please, for the purpose of administration, I think a year into this, Matt, we'll take a look at how close it I think I think that's what I think we gotta get some water to the bridge. And somebody say, hey. This would work out better, and this will work out better. No. No. I I don't have a problem with the text, and I don't wanna go through another four month process of negotiating with Logan. I wanna get this thing. Well, we don't have time to do that anyway, and we don't know if the Logan city council will have any changes desired either. So

talking to their attorney, their city council based because of how the city government structured differently, all that all we're waiting on them to do is to with to rescind their withdrawal. Otherwise, it's just gonna be Logan City's mayor that has the power to enter into this agreement without city council approval because it doesn't affect their budget. Oh, right. It's not it's not obligated to any money. So so all all they needed the city council just need to say, actually, we're not withdrawing, which I wish that they maybe could've done before that effective date of the withdrawal. But Yeah. I I don't think that VA is gonna recognize their withdrawal is valid anyway. So Also, I don't know if anyone pointed this out quickly in our discussion when you're talking about fiscal year, but the the letter d delta right above, where we're talking about budget, does specify that the fiscal year is January 1 and then Yeah. Yeah. Yeah. I I brought that up. Okay. Yeah. Because I don't remember having that discussion with them, but then we got it defined in there. So okay.

I think Normally, when when somebody start talking about fiscal year, they're changing from the calendar year. Yeah. But but we've got it fixed. We don't need to worry about that. It's just every time somebody reads it and says, according to the fiscal year, they'll be looking.

K. So Guess we have to send it on to the Yeah. County council.

It's weird. Is that a motion or a question. My question is is, Dane, can you convert this to a restated agreement without have to go back and renegotiate with Logan? I think you can because it's clear what the changes are. You just question it.

Right? Yeah. I should be able to do that. And and so and this is what my suggestion was gonna be because, really, what they what council is approving is related to the the content, not necessary. And I think there are things that could even be negotiated with Logan after the council's approved this that if they're not large substantive changes. So my suggestion is that that that we put a resolution on the the council's agenda approving this and giving authority to the county executive to enter into this interlocal agreement. And and can and then do the restatement after that? And then we could we get our our part done? I can work on the restatement because Logan City, we we still need to get you with Mark Anderson and get get that approved. But I can get this restated and send it to Let's do that. Let's do that. Give me signing authority, and then we'll work on it. Which we should do anyway.
